Prior to joining Hall Estill, Nick spent sixteen years working at Chesapeake Energy Corporation (now Expand Energy Corporation), the largest producer of natural gas in the United States.  At Chesapeake, Nick served as the Assistant General Counsel – Tax.  Nick advised on numerous acquisitions of multibillion-dollar public and private companies, an IPO of a master limited partnership and a royalty trust, a spin-off of an oilfield services company, over twenty oil and gas joint ventures involving tax partnerships, and Chesapeake’s Chapter 11 bankruptcy.  He was involved in state and federal tax planning, purchase & sale and other agreement review, tax related due diligence and § 1031 exchanges.  Nick oversaw the audit and tax controversy matters for federal income and withholding taxes, state income and franchise taxes, and unclaimed property audits.  He provided counsel on sales tax, property tax, and gross production tax issues.  Nick oversaw the government relations activities, associated with tax, at both the federal and state levels.  He assisted in drafting and editing legislation and was involved in conversations with federal and state law makers to educate them on tax issues and propose legislative changes.  Nick offered tax advice with respect to the following transactions:
